   1. OUR VISION FOR SUSTAINABLE DEVELOPMENT

Our vision is to develop a disciplined and integrated approach encompassing our activities in the areas of Governance, Social Development, Economic Contributions; and, Environmental Stewardship. It is our business to create value, whereby sustainable development principles will be in the forefront of our corporate mandate.

Our vision encompasses the entire mineral exploration to production chain, whereby we will set out long-term as well as short-term objectives. These objectives are obtained from a democratic decision-making process, as well as form an integrated assessment of the four dimensions of sustainable development as they pertain to each project. Figure 1 illustrates the iterative nature of these processes, as well as how they will need to be refined and revised over the long-term.

We will seek continual improvement in our performance, as well as in our contribution to sustainable development so as to enhance shareholder value. In order to do so, we will strive to achieve the following:


Together with management and reporting systems, this sustainable development strategy will constitute the company's "Corporate Social Responsibility" (CSR) and will be implemented for the major elements of sustainability as they apply to each project.

   2. OUR SUSTAINABILITY PRINCIPLES

Our sustainability principles are guided by a commitment to our long-term sustainable development vision. These principles include:

Corporate Governance for Stakeholder and Investor Confidence
Our group is committed to building appropriate policies and procedures for corporate governance in order to ensure accountability, transparency and responsiveness to stakeholders. They include: compliance with best practice principles, development of risk management strategies, and the employment of specialists where necessary.
Human Rights
Our group is committed to upholding fundamental human rights and respect cultures, customs, and values in dealings with communities, employees and others affected by our activities.
Project Due-Diligence and Pre-Engagement
Our group is committed to remaining informed of the political, economic, social and technical/environmental characteristics of the area in which we want to operate. Sound data obtained will contribute to the design and structure of risk management strategies, as well as pre-engagement processes such as preparation for field activities.
Community and Aboriginal Engagement & Enhancement
Our group is committed to developing long-lasting economic, environmental and social benefits through the building of meaningful and transparent relationships with local communities and First Nations. Local knowledge and organizations provide the foundation for collaborative approaches to development goals that are both cost-effective and sustainable.
Human Resource Development
Our group recognizes the importance of long-term benefits and by building capacities of community members, organizations and employees through areas such as employment, training and education will ensure long-term benefits for our stakeholders and shareholders.
Environmental Integrity and Performance
Our group recognizes that environmental stewardship is one of the most important issues facing our industry today. We will manage all our operations in a manner that is compatible with environmental protection standards, and integrate closure requirements into all stages of our activities.
Health & Safety Performance
Our group is committed to providing a safe environment for employees, contractors and visitors of our facilities. Our health and safety management system supports leadership in preventive and responsive attitudes and behaviors at all levels of our organization to ensure a safe environment.

   3. OUR SUSTAINABLE DEVELOPMENT AND CORPORATE SOCIAL MODEL    FOR THE MOUNT MILLIGAN PROJECT

CSR is a corporate management system for achieving desired outcomes and targets in sustainable development and corporate governance involving all stakeholders. Our sustainability objectives will be developed over the coming months, and a CSR plan fully developed within the first year of production at Mount Milligan.

Our corporate governance policy is the foundation for management systems and outcomes related to corporate and operating unit activities. Some of the performance objectives will be developed at the juncture between development and production of the Mount Milligan project in order to include mine managers in the process.

Sustainability Planning

The process we will undertake in the coming months will begin with identifying and engaging stakeholders in a dialogue about the elements of sustainability. Potential objectives for Mount Milligan will be assessed with reference to Terrane Metals' vision and sustainability commitments. This iterative engagement process will result in a set of project-specific level sustainability objectives, implementation plans, metrics and reporting criteria.

Assessment of Progress

Terrane Metals Corp. will test its progress against the sustainability objectives both at corporate and project levels.

Indicators and Monitoring

Our group will establish a set of specific objectives and indicators to monitor its contributions and impacts to sustainability. Some of the objectives and indicators will be developed in cooperation with First Nations, local communities, governments and other stakeholders.

Results of indicator monitoring will be reported annually in a Mount Milligan Sustainability Report beginning at the end of the first full year of operations. Updates on key indicators will be provided during the construction period.

Ongoing Consultation and Review

A consultation and review process will be established that provides for periodic reporting and comment on indicators and an on-going stakeholder forum process for discussing current and future initiatives. The primary mechanism for stakeholder and First Nation involvement will be a Community Sustainability Committee.
